Internal Central Council Bylaw of Iran Paad — Cultural-Political Organization
Article 1. Subject and Purpose
This bylaw has been drafted to regulate the internal order, the conduct of meetings, decision-making processes, and interactions among the members of the Central Council of Iran Paad.
Article 2. Time and Manner of Convening Meetings
1. Regular meetings of the Central Council are held weekly, on Sundays, at exactly 10:00 a.m. US Central Time (Texas), equivalent to 11:00 a.m. Toronto time and 5:00 p.m. Central European time, via an online platform (Zoom or similar).
2. Changing the schedule of regular meetings is possible only with a two-thirds vote of the members of the Central Council.
3. Meetings begin with the playing of the anthem of the Iranian Empire and last a maximum of two hours.
4. The quorum required for a meeting to be formally convened is the presence of at least half plus one of the Council members.
5. The agenda is prepared by the meeting chair (or a person designated by the Secretary-General) and sent to members at least 24 hours before the meeting time.
6. The meeting secretary is responsible for recording the minutes and preparing a complete report of the discussions, decisions, and votes.
7. With the approval of the members, meetings may be recorded and kept in the Organization's secure archive.
8. Monthly meetings are convened at the invitation of the Secretary-General for the purpose of reviewing the Organization's performance over a defined period. Their timing is announced to the members by the Secretary-General.
9. If necessary, any Council member may raise an urgent matter through the members' communication channel (Signal, Telegram, WhatsApp, or email) and request an extraordinary meeting. The subject of this request must be supported by at least one other member of the Council.
10. The Secretary-General of the Organization is exempt from the requirement of the preceding clause.
11. An extraordinary meeting must be scheduled and held within a maximum of 48 hours after its request is approved by the Secretary-General or the Council secretary (minute-taker).
Article 3. Attendance, Absence, and Order in Meetings
1. Regular attendance of Central Council members at meetings is mandatory.
2. If unable to attend, a Council member is required to notify the meeting chair of the reason for their absence at least 24 hours before the meeting.
3. In the event of unnotified absence from three consecutive meetings, the matter will be raised at a Council meeting, and a decision will be made regarding the individual's continued membership on the Council.
4. Members are required to observe mutual respect, speaking order, and focus on the matters listed in the agenda.
Article 4. Decision-Making and Voting Process
1. In cases requiring a formal decision, the matter is raised by the meeting chair (or the Secretary-General), and members cast their votes orally or in writing.
2. Decisions are adopted by a simple majority vote of the members present at the meeting, unless the Charter or another bylaw specifies a particular majority.
3. The minutes shall record the outcome of each vote in a documented and formal manner.
Article 5. Election of the Secretary-General, Treasurer, and Council Secretary
1. At the first meeting of each new term of the Central Council, the Council members shall elect, from among themselves, a Secretary-General, Treasurer, and Secretary of Iran Paad for a two-year term.
2. The Secretary-General may not stand as a candidate for the position of Treasurer.
3. Simultaneously holding the positions of Treasurer and Council Secretary is not prohibited.
4. The Secretary-General is the official representative of the Organization in all media, organizational, and international matters, and the coordination of the Organization's bodies is carried out under his or her direction.
5. All legal documents of the Organization are valid upon the signature of the Secretary-General.
6. All financial documents must bear the joint signatures of the Secretary-General and the Treasurer.
7. At the beginning of each fiscal year, the Treasurer is required to provide the Council members with the report of the previous fiscal year within a maximum of four weeks.
